This site provides a variety of resources and information for users to find, connect, and manage expert networks for the frontier market space.
Conditions of Becoming an Advisor and Member of OnFrontiers Network and Participation in Consulting Projects
You may become an Advisor and participate in any particular project if, and only if, all of the following conditions are met:
Your membership and participation does not:
- present any conflict of interest or perceived conflict of interest
- cause you to breach any agreement with or other legal obligation to any person or entity (including, but not limited to, your employer, your previous employers or any person or entity to which, or through which, you provide or have provided consulting services).
- cause you to violate any duty or obligation of any kind to, or policy or code of conduct of, any person or entity (including, but not limited to, your employer, your previous employers or any company to which, or through which, you provide or have provided consulting services).
- result in the disclosure of any confidential or proprietary information.
- violate any law, rule or regulation.
You must decline or discontinue participation in any project that would result in a violation of any of the conditions above.
You are solely responsible for determining whether you are permitted to join OnFrontiers and to participate in projects. Before applying to join OnFrontiers, you must review any and all legal agreements that could restrict your ability to participate, including, without limitation, employment agreements, consulting agreements, non-disclosure agreements, employee handbooks, codes of ethics and similar employment policies.
You agree not to disclose or attempt to use or personally benefit from any Confidential Information, as defined below, you learn on OnFrontiers websites or from communications you received from OnFrontiers. This obligation shall continue until such time as the Confidential Information has become publicly known through no action of your own. Confidential Information shall include: the existence or subject matter of any OnFrontiers project as well as the name of any Client; (ii) information about actual or potential business, investment or trading decisions or transactions of any OnFrontiers client; (iii) any other confidential information of OnFrontiers or its clients, and (iv) any intellectual property, including without limitation any trade secrets, know-how, or copyrighted information, of OnFrontiers or its clients. If you are compelled by order of a court or other governmental or legal body (or have notice that such an order is being sought) to divulge any Confidential Information, you agree promptly and diligently to notify OnFrontiers and cooperate fully with OnFrontiers in protecting such information to the extent possible under applicable law
You will be paid based on your customary consulting fees, as agreed by you and us. Payment will be provided for the amount of time spent consulting with our client, according to the following breakdown:
- 0-29 minutes – 50% of your specified hourly rate
- 30-39 minutes – 67% of your specified hourly rate
- 40-49 minutes – 83% of your specified hourly rate
- 50-60 minutes – full hourly rate
- For consultations lasting more than an hour, additional payment will be provided in 10 minute increments
Payments will be made following the completion of a member’s consulting engagement, within 15 days following the members request for such payment to OnFrontiers membership team. Advisors (Members) must submit invoices for payment within 45 days after completion of any project.
You may only change your consulting fee rates upon written notice to us and the new fee rate is only applicable to projects that occur after our receipt and approval of written notice. You may not reveal your billing rates and financial arrangements to Clients without OnFrontiers’ prior written consent.
Accuracy of Information
You are solely responsible for the accuracy and completeness of information that you provide to OnFrontiers and you understand that OnFrontiers, Clients and third parties may and will rely on your insights and information. You agree to provide us with accurate and up-to-date biographical information on your application and in connection with any further queries, including, without limitation, your current and former employment, and any conflicts or restrictions on your ability to consult. Based on further information from you or other sources, we may amend your profile information and you acknowledge that you are under a continuing obligation to monitor the accuracy of your profile information and to update changes promptly.
You may terminate your membership in OnFrontiers at any time by providing us with written notice. Likewise, OnFrontiers may terminate your membership in OnFrontiers network at any time and for any reason without providing notice. Termination shall not relieve either party of its obligations under these Terms and Conditions intended to survive termination.
